The Opportunity:
We are excited to be recruiting for a Senior Legal Counsel, Business Banking. In this pivotal role, you will provide expert legal advice and support to our Business Banking team. You’ll take the lead in managing the entire business loan documentation process, from initiation to completion, drawing on your professional expertise to draft and review commercial lending agreements, security documents, and all related documentation required to facilitate lending facilities.

This position offers a unique and rare opportunity to make a significant impact by ensuring our lending operations are legally sound and expertly executed.

This role offers a high level of autonomy and the benefits of flexible hybrid working, with a blend of office and remote working options, plus access to our Bristol, London, and Edinburgh offices.

At Triodos, we recognise the importance of maintaining a healthy work-life balance and are dedicated to supporting our employees’ wellbeing. We offer a range of flexible working options, including part-time roles, varied working patterns, and a hybrid work environment. While this is a permanent, full-time position, we also welcome applications from candidates seeking part-time or flexible arrangements. If you would like to be considered for part-time hours, please outline your preferred working pattern in your cover letter.

Responsibilities:

The primary objective of this role is to oversee the entire process of documenting Facility Agreements and related security documentation, while serving as the dedicated legal counsel for the Business Banking department. You will ensure that all lending and security documents are structured in full compliance with applicable laws and internal policies, safeguarding the Bank’s interests at every stage—both during and after completion.

Key Responsibilities:

  • Oversee and prioritise facility documentation processes to meet Bank and client deadlines, proactively resolving or escalating any bottlenecks to ensure smooth loan transactions.
  • Support the delivery of loan agreements that meet both Bank and borrower needs, ensuring all credit sanction conditions and policy requirements are fulfilled.
  • Collaborate with Lending Operations to ensure facility agreements align with back-office systems.
  • Manage the appointment, performance, and relationships of external solicitors from the Bank’s approved panel, in partnership with Procurement and Legal teams.
  • Personally review and ensure the legal and regulatory robustness of bespoke loan agreements, security documents, and reports, escalating any issues as needed.
  • Advise Business Banking and Lending Operations teams on loan documentation and policy matters, addressing legal issues as they arise.
  • Maintain and update Bank templates, policies, and procedures, ensuring strong internal controls and governance.
  • Participate in regular progress meetings with all parties to keep transactions on track and stakeholders informed.
  • Comply with regulatory obligations and uphold ethical standards, prioritising good customer outcomes in line with Triodos’ values.

What we are looking for :

We are seeking a UK-qualified solicitor with 6 years’ PQE or more, and with experience in banking and finance law, ideally including bespoke lending transactions and knowledge of commercial lending structures such as LMA documentation. Experience in structured project finance lending and process improvement is desirable. You should be confident drafting and negotiating loan and security documents, have strong attention to detail, and demonstrate excellent communication skills at all levels. The ability to work both independently and collaboratively, and to manage a busy workload under pressure, is essential.

While we are looking for candidates with 6 years’ PQE or more, if you do not meet this requirement but possess equivalent and relevant experience, we would still encourage you to apply, as this will also be considered.

Triodos Bank is proud of its culture, ethos, and ability to make a positive change in society. It is important that candidates evidence a strong commitment to Triodos Bank's core values of ethical sustainability and transparency, as well as the personal qualities to live these values.
